Terms of service
GENERAL PROVISIONS
1. The following Terms of Service apply to all orders placed at Merrelldepot.com.
2. These Terms of Service of the contract for the sale of goods (the "Terms & Service") govern the legal relationship between the Seller and the Buyer.
3. The Terms of Service are a binding document for the Buyer and the Seller, which sets out the rights and obligations of the Buyer and the Seller, the conditions for the purchase of the goods and payment for them, the procedure for the delivery and return of the goods, the Buyer's and the Seller's liability and other Terms of Service relating to the purchase of goods from Merrelldepot.com.
4. Businesses purchasing our goods are allowed to use them in their business for their intended purpose; goods manufactured by us may not be sold to third parties or used in the manufacture of products or otherwise altered unless otherwise agreed in a separate written agreement with us.
5. Definitions:
5.1. Seller - MB "Gisko", registered in the Register of Legal Entities of the Republic of Lithuania, legal entity code 307015673, registered office address V. Nagevičiaus g. 3, LT-08237 Vilnius, [email protected];
5.2. Buyer - a person who orders from the Seller a product manufactured by the Seller or a product sold by the Seller (hereinafter referred to as the "Product") and purchases it from the Seller;
5.3. Contract - a contract for the sale of Goods between the Parties, which shall be deemed to have been concluded from the moment of placing the Order. The Terms of Service of the Contract entered into by the Parties shall be in accordance with the version of the Regulations in force at the time of placing the Order;
5.4. The parties are the Buyer and the Seller together;
5.5. Order - Adding the Goods that the Customer wishes to purchase in the cart;
5.6. A consumer is any natural person who enters into a legal transaction for consumer purposes, i.e., for purposes other than his or her business, trade, craft, or profession;
5.7. Entrepreneur: a natural or legal person or a person having the rights of a legal person who, by entering into a legal transaction, is acting in the course of his or her commercial or independent professional activity.
2. CONTRACT FORMATION, RECTIFICATION OPTIONS
6. The product images on Merrelldepot.com are for illustrative purposes only. The blinds are made upon request based on the specifications provided by the customer.
7. By providing examples of the products in the online shop, we are making an offer to enter into a contract for the production and sale of these products according to your order. You may initially add our products to your shopping cart without obligation and at any time before confirming your order, you may amend your order using the means provided and explained for this purpose in the ordering process. If you add products to your shopping cart and do not complete your purchase (pay for the goods) without removing the products from your shopping cart, we will send you a reminder of the incomplete purchase.
8. The Contract shall be deemed to have been concluded when you form a shopping cart, confirm your order by clicking on the "Check out" button, specify the delivery details, choose the payment method, click on the "Pay now" button, and pay for the Goods. You will receive an email confirmation immediately after your order has been placed.
3. CONTRACT LANGUAGE, CONTRACT TERMS, AND PRESERVATION OF THE TEXT
9. Before placing an order, the Buyer must read these Terms of Service and acknowledge that the Buyer has read and accepted these Terms of Service and the Privacy Policy. If the Buyer does not agree to the Terms of Service and Privacy Policy, the Buyer may not place an order for the Goods or purchase the Goods.
10. When placing an order, the Buyer is obliged to provide his/her personal data, which are processed by Merrelldepot.com in accordance with the Privacy Policy and are necessary for the order to be fulfilled.
11. The contract of sale shall be deemed to be concluded from the moment the Buyer selects the method of payment and makes payment. The Buyer shall be informed of the order confirmation by e-mail.
12. The contract is governed by the law of the Republic of Lithuania. Disputes arising out of the Contract shall be settled in accordance with the law of the Republic of Lithuania; in the event of failure to resolve the dispute amicably (by agreement between the parties), the disputes shall be settled by the courts of the Republic of Lithuania.
13. Instructions for use and other necessary information about the product and its features are provided by email or with the product.
4. TERMS OF DELIVERY
14. We only deliver parcels via parcel services. Unfortunately, it is not possible to collect the goods yourself.
15. The risk of accidental loss or damage to the Goods shall pass to the Buyer from the time of delivery of the Goods to the Buyer.
16. If the Buyer fails to collect the Goods within the specified time limit or fails to take delivery of the Goods to the Buyer, the Seller shall contact the Buyer to arrange an alternative time or method of delivery. If the Buyer fails to take delivery of the goods repeatedly, the Goods shall be returned to the Seller and the order shall be cancelled; the Buyer shall be refunded the money paid for the Goods, less any bank charges applied to the Seller's bank transfers and the cost of delivery of Goods.
5. PAYMENT
17. The following payment methods are available in our shop:
17.1 Credit card:
You enter your credit card details during the booking process. Once your order is completed, your card will be charged immediately.
17.2 PayPal:
In order to pay the invoice amount via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A, 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), you must be registered with PayPal, confirm your access details, and confirm the payment order. The payment transaction is made by PayPal immediately after the order is placed. You will receive further instructions during the order process. For registered PayPal customers, selected according to their own criteria, PayPal may offer additional payment methods in the customer's account. However, we have no influence on the offer of these payment methods; other payment methods offered individually affect your legal relationship with PayPal. Please refer to your PayPal account for more information on this.
17.3 Apple Pay:
To pay an invoice through the payment service provider Apple Inc., One Apple Park Way, Cupertino, CA 95014, USA ("Apple"), you must use the Safari browser, be registered with Apple, activate Apple Pay, confirm your access credentials, and confirm your payment instruction. The payment transaction is made immediately after the order is placed. You will receive further instructions during the booking process.
6. DAMAGE CAUSED DURING TRANSPORT
18. The Buyer is obliged to check the condition of the packaging and the contents of the parcel at the time of delivery. If the goods are not inspected at the time of delivery, the Seller shall be entitled to reject any subsequent claims for damage to the goods, provided that the damage to the goods is obvious and could have been observed during the inspection at the time of delivery.
19. If the goods are delivered with obvious transport damage, the Buyer must notify the courier of such damage and contact the Seller immediately.
7. QUALITY GUARANTEE
20. Liability for defects is governed by the laws in force in the Republic of Lithuania.
21. The Seller provides a quality guarantee for products and other goods valid for a certain period of time, the specific term and other conditions of which are specified in the Merrelldepot.com Warranty or together with the invoice for the product, which is also the document confirming the guarantee.
22. The quality guarantee given by the Seller does not affect consumers' rights under the law in the event of a defective product.

8. RESPONSIBILITY
24. Matters not covered by these Rules shall be governed by the legislation in force in the Republic of Lithuania.
25. Our liability is governed by the Civil Code of the Republic of Lithuania and other legal acts protecting consumer rights.
26. The Buyer, having purchased the Goods that do not meet the quality requirements, in accordance with Article 6.364(1) of the Civil Code of the Republic of Lithuania, shall have the right to demand that the Goods be of proper quality, to have the price of the Goods reduced proportionally, or to unilaterally terminate the contract of sale and purchase, as well as other rights provided for in this Article.
9. DISPUTE RESOLUTION
27. A Buyer who believes that his/her rights have been infringed may lodge a complaint with the Seller by emailing [email protected]. The Seller will reply to the Buyer within 14 calendar days of receipt of the Buyer's written complaint.
28. If the dispute cannot be resolved by negotiation, the Buyer shall have the right to appeal to consumer protection authorities and to the courts. The Consumer may apply to the State Consumer Rights Protection Authority (Vilniaus g. 25, 01402 Vilnius, Lithuania, e-mail: [email protected], website www.vvtat.lt, applications accepted in Lithuanian and English). The Customer's complaint can also be addressed via the Electronic Dispute Resolution Platform: ec.europa.eu/odr/.
